The following terms used in these General Terms and Conditions shall have the meanings set out below:
These General Terms and Conditions apply to all services commissioned by the Client and accepted for performance by the Contractor.
The Client accepts that the terms of Tax & Advice govern the relationship between the parties, and that the Client's own general terms and conditions shall not apply.
The agreement is concluded at the moment the Client provides the Contractor with a commission by signing a contract or by ordering a service online. The agreement may be concluded verbally and confirmed by the Contractor.
The agreement is concluded for an indefinite period, unless the nature of the commission indicates otherwise.
The Contractor shall make every effort to carry out the commission in accordance with tax regulations, but does not guarantee a specific outcome.
Services shall be performed within the agreed timeframes using available technology and the latest standards.
Involvement of third parties requires the prior consent of the Client.
The Client is obligated to provide the Contractor with all data, information and documents necessary for the performance of the commission in a timely, complete and accurate manner.
The administration at the start of the agreement should be complete, with the general ledger consistent with the data from the previous year. Incomplete administration will result in additional time being charged.
The Client acknowledges that the processing periods of tax authorities are independent of Tax & Advice.
The Contractor is obligated to maintain confidentiality towards third parties, subject to obligations imposed by law.
Confidentiality applies to information of a confidential nature and the results of its processing.
The Client is obligated to maintain the confidentiality of data and documents deemed secret.
The Contractor shall not be liable for damages resulting from incomplete and/or incorrect information provided by the Client.
No liability for indirect damages related to the commission.
In the event of improper performance of the commission through the fault of the Contractor, Tax & Advice is obligated to rectify the defects free of charge, provided the costs do not exceed the fees charged for the work in question.
Liability is limited to the net invoice amount for the commission giving rise to the liability.
Liability expires 1 year after the completion of the work.
The Client is obligated to pay the invoice for services rendered within 14 days of the date of issue.
Failure to pay on time constitutes default and results in the charging of statutory interest from the day following the expiry of the payment deadline.
The Client is obligated to reimburse reasonable judicial and extrajudicial costs.
The Contractor is entitled to retain documents in its possession in connection with the cooperation until the Client has fulfilled its obligation to settle outstanding payments (right of retention).
Complaints regarding work performed must be submitted in writing within 30 days of the date of dispatch of the documents, on pain of forfeiture of all claims.
A complaint does not exempt the Client from the obligation to pay the invoice.
In the event of a justified complaint, the Contractor may choose between adjusting the fee charged, rectifying the work free of charge, or re-performing the work that was subject to the complaint.
The Client has the right to terminate the commissioned work at any time, provided that the Client is a natural person.
Sole traders and VOF partnerships are required to comply with the termination conditions set out in the agreement.
The Contractor may terminate the agreement without notice if the Client fails to make payments, is subject to insolvency proceedings, or for other justified reasons.
Tax & Advice may suspend the performance of its obligations if the Client fails to fulfil the terms of the agreement.
Tax & Advice reserves all rights in relation to the results of intellectual work produced by the Contractor.
Documents provided by the Contractor are intended solely for the Client and may not be reproduced without consent.
All agreements concluded between the Client and the Contractor are governed exclusively by Dutch law.
Disputes shall be brought before the civil court with jurisdiction over the place of business of the Contractor, unless the law provides otherwise.
The parties may choose an alternative method of dispute resolution.
